Motebit Terms of Service

1.Introduction and Acceptance
These Terms of Service (the “Terms”) govern your use of the software, websites, command-line tools, mobile applications, and relay services provided by Motebit, Inc., a Delaware corporation (“Motebit”, “we”, “us”, or “our”). Our principal office is located at 5022 Doman Avenue, Tarzana, CA 91356, United States.
By accessing or using the Motebit software, websites (including
motebit.com and docs.motebit.com), command-line tools, desktop
applications, mobile applications, or any Motebit-operated relay service (collectively, the
“Services”), you agree to these Terms. If you do not agree, you
may not use the Services. These Terms form a binding agreement between you and Motebit,
Inc.
2.Description of the Services
Motebit is an identity and infrastructure platform for autonomous software agents (“motebits”). Each motebit has:
- A sovereign cryptographic identity based on the Ed25519 signature scheme, generated and stored locally on your device.
- A self-custodied on-chain wallet (USDC on Solana) derived directly from the identity key by mathematical coincidence of the Ed25519 curve.
- A local memory store, trust store, and governance configuration.
- Optional access to Motebit-operated relay services for discovery, multi-device synchronization, task orchestration, trust aggregation, and managed AI inference proxying.
Motebit is an identity and infrastructure platform. Motebit is NOT a cryptocurrency exchange, broker, money transmitter, wallet provider, custodian, or financial institution.
3.Non-Custodial Model
You, the user, solely control your motebit’s identity key and the on-chain wallet derived from it. Motebit does not custody, hold, manage, or have access to your funds at any time.
Specifically:
- Your identity private key is generated on your device and stored in your local keystore (browser IndexedDB, operating system keychain, or mobile secure enclave). Motebit does not receive, transmit, or store this key.
- Your on-chain USDC is held at your Solana address, which is derived from your public key and is controlled solely by your private key. Motebit has no ability to move funds from your address.
- Signed receipts, credentials, and delegation records are produced by your device using your key. Motebit does not sign on your behalf.
- When you use a third-party payment provider through Motebit (for example, Stripe Crypto Onramp to purchase USDC with a payment card), the provider is legally responsible for that payment. Motebit creates the purchase session but does not process, hold, or route the funds. USDC is delivered directly from the provider to your self-custodied Solana address on-chain.
If you lose your identity private key or the device holding it, you will lose access to your motebit and its associated wallet, and Motebit cannot recover them for you. Please back up your identity using the export tools provided in the Motebit interface and store your backups securely.
4.Eligibility and Prohibited Use
You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement.
You may not use the Services if you are located in, organized under the laws of, or a citizen or resident of a jurisdiction subject to comprehensive U.S. economic sanctions or on any U.S. government list of prohibited or restricted parties (including the U.S. Department of the Treasury Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons List).
You may not use the Services to:
- Violate any applicable law, regulation, or third-party right.
- Finance, facilitate, or engage in any illegal activity, including money laundering, terrorist financing, or sanctions evasion.
- Impersonate any person or entity, or misrepresent your identity or affiliation.
- Interfere with or disrupt the Services, any Motebit-operated relay, or any other user’s use of the Services.
- Attempt to gain unauthorized access to any part of the Services or to data not intended for you.
- Use the Services to process payments for goods or services that violate applicable law or the terms of any of our payment processing partners.
- Reverse engineer, decompile, or attempt to extract the source code of any non-open-source component, except where expressly permitted by applicable law.
5.Fees and Payments
Core Motebit software and protocol specifications are available under open-source or source-available licenses. Certain Motebit-operated services (hosted relay, managed AI inference proxy, multi-device synchronization, orchestrated delegation, credential issuance, and similar convenience services) may be offered on a paid basis.
When you fund your motebit through a third-party payment provider (for example, Stripe Crypto Onramp), the provider’s own terms of service, fees, and processing times apply in addition to these Terms. Motebit does not set those fees and does not receive the funds you are purchasing through the provider.
We may change our fees at any time with reasonable advance notice posted on
motebit.com or delivered through the Services.
6.Intellectual Property
The Motebit protocol specifications and the Apache-2.0-licensed packages are available under their stated open-source licenses. The Motebit reference implementation, including certain server-side code, is licensed under the Business Source License (BSL-1.1) or such other license as stated in the applicable repository. The “Motebit” name, the Motebit logo, and any associated trademarks are the property of Motebit, Inc. and may not be used without our written permission except as permitted under the applicable open-source license.
You retain ownership of your identity, your memory, your credentials, and any content you create or input through the Services. By using the Services, you grant us a limited, non-exclusive license to process your data as necessary to provide the Services to you.
7.Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. Because of the non-custodial architecture of Motebit, we generally do not have access to your identity private key, your wallet contents, or the substantive contents of your memory store. When you use Motebit-operated convenience services (for example, multi-device synchronization), we handle only encrypted data that we cannot read.
8.Third-Party Services
The Services may integrate with or route to third-party services (for example, Stripe for fiat payment processing, Solana for on-chain settlement, AI inference providers such as Anthropic or OpenAI). Your use of those services is subject to their own terms and policies. We are not responsible for the availability, accuracy, or reliability of third-party services, and we do not endorse any third-party content accessed through the Services.
9.Service Availability and Modifications
We may modify, suspend, or discontinue the Services (or any part of the Services) at any time, with or without notice. Because Motebit is a sovereign, self-custodial system, the continued existence of Motebit-operated convenience services is not required for you to retain access to your motebit identity or your on-chain wallet. If we discontinue Motebit-operated services, you will still own your identity keys and have access to your wallet through compatible third-party tools or a self-hosted Motebit implementation.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of these limitations may not apply to you.
12.Indemnification
You agree to indemnify, defend, and hold harmless Motebit, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or third-party right, or (d) your use of any digital asset in connection with the Services.
13.Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by a recognized arbitration provider under its then-current rules. The arbitration shall take place in Delaware or any other location mutually agreed in writing. You and Motebit each waive the right to a jury trial and the right to participate in a class action.
If any provision of this Section 13 is found unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified only to the extent necessary to make it enforceable.
14.Termination
You may stop using the Services at any time. We may terminate or suspend your access to the Services at any time, with or without cause and with or without notice. Upon termination, sections of these Terms that by their nature should survive (including Sections 6, 7, 10, 11, 12, 13, and 15) shall survive.
Because Motebit is non-custodial, termination of your access to Motebit-operated convenience services does not affect your ownership of your identity key or your on-chain wallet. You will retain access to those assets through any compatible third-party tool or a self-hosted Motebit implementation.
15.Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify
you by posting the updated Terms at motebit.com/terms.html with a new
“Last Updated” date and, where appropriate, by other reasonable means. Your
continued use of the Services after the updated Terms take effect constitutes your
acceptance of those changes. If you do not agree to the updated Terms, you must stop using
the Services.
16.Miscellaneous
These Terms, together with any policies or documents referenced in them, constitute the entire agreement between you and Motebit concerning the Services and supersede all prior or contemporaneous communications. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or otherwise at our discretion.
